These Terms & Conditions (“Terms”) govern your access to and use of our website at dreamloftdigital.com (the “Website”) and any services or deliverables provided by us (together, “Services”). By using our Website, engaging our Services, or otherwise interacting with us, you (“you”, “Client”, “User”) agree to be bound by these Terms. If you do not agree, please do not use our Website or engage our Services.
1. Terms of Use

By accessing the Website or using our Services, you confirm you have read, understood, and agree to these Terms and all incorporated documents.
1.2 Amendments
We may update these Terms at any time by posting a new version on the Website. Your continued use after changes constitutes acceptance of the updated Terms.
1.3 Additional Terms
Specific service proposals, quotes, subscriptions, engagements or promotions may include additional terms (“Additional Terms”). In the event of a conflict, the Additional Terms prevail for that service. In the event of any conflict between these Terms and a signed agreement or proposal between DreamLoft Digital and a specific client, the signed agreement will prevail.
2. Services & Engagements
2.1 Service Scope
We provide a variety of services including fractional CMO support, marketing advisory, campaign execution, CRM and automation build‑outs, website development, and AI/agent technology consulting. Each engagement will be defined in a proposal or agreement.
2.2 Client Responsibilities
You agree to provide timely access, accurate information, decisions, and any required assets or permissions necessary for us to perform the Services. Delays or missing input may impact timelines or outcomes.
2.3 Change of Scope
If you request changes to the scope or deliverables, we will issue a change‑order or variation and fees and timelines may adjust accordingly.
3. Fees, Payment, and Refunds
3.1 Fees
All fees are as specified in your proposal or agreement. Unless otherwise noted, fees are in Canadian dollars and exclude applicable taxes.
3.2 Payment
Payment methods and terms will be outlined in the engagement document. Services may require deposits, milestone payments, or retainer fees.
3.3 Refund Policy
Because our Services include strategic advice, custom build‑out and ongoing consultancy, we do not offer standard refunds for delivered services. Any refunds or credits are at our discretion and must be documented in writing.
4. Intellectual Property
4.1 Our Materials
All materials, content, methodologies, code, templates, and deliverables we design remain our property unless otherwise agreed in writing.
4.2 Client Materials
You warrant that any materials you provide (text, images, data, logos) do not infringe third‑party rights and grant us a licence to use them in connection with the Services.
4.3 Transfer of Rights
Upon full payment, and unless otherwise agreed, you may receive a licence to use deliverables for the agreed purposes. We retain rights to underlying general methodologies, templates, and processes.
5. Confidentiality
Each party will keep the other’s confidential information strictly confidential and will not disclose it without prior written consent, except where required by law.
6. Client Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. Third‑Party Service Providers
We may use third‑party tools and platforms (CRM, ad networks, website hosts, analytics) to deliver services. You authorise us to connect and integrate those tools on your behalf where required.
8. Website Use & Prohibited Activities
You are granted a limited, revocable, non‑exclusive licence to use the Website for your internal purpose only. You agree not to:
- Reverse‑engineer, copy or distribute Website content without authorization
- Introduce viruses, malicious code, or otherwise impair the Website or other users’ access
- Use the Website in violation of applicable law
9. Disclaimers & No Guarantees
The Website and Services are provided “as is” and “as available”. We make no warranty of any kind — express or implied, including fitness for a particular purpose. We do not guarantee specific results (such as sales growth, campaign ROAS or ranking improvements). Your use of the Website and reliance on Services is at your own risk.
10. Limitation of Liability
To the maximum extent permitted under applicable law, we and our affiliates, directors, officers, employees, agents, contractors will not be liable for indirect, incidental, special, punitive or consequential losses (including loss of revenues, profits, data) arising out of or relating to your use of the Website or Services, whether in contract, tort or otherwise. Our total liability to you for any direct loss shall be limited to the amount you have paid us for the specific service giving rise to the claim.
11. Indemnification
You agree to defend, indemnify and hold us harmless from any claims, liabilities, damages, losses or expenses (including legal fees) arising from your breach of these Terms, your misuse of the Website or Services, or your violation of applicable law.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada. Any dispute related to these Terms shall be submitted to the exclusive jurisdiction of the courts of Alberta.
13. Severability and Waiver
If any provision of these Terms is found invalid or unenforceable, the remainder remains in full force. No waiver of any term shall imply further or continued waiver.
14. Entire Agreement
These Terms, along with any proposal, engagement document and our Privacy Policy, represent the entire agreement between you and us regarding the subject matter and replace all prior discussions, representations or agreements.
